Carmen is a partner in the Corporate Finance practice team. She specializes in corporate and commercial affairs and has extensive experience in capital markets, mergers and acquisitions (both private and public), banking and financial transactions. Carmen also regularly advises international and PRC clients on compliance and regulatory matters relating to Hong Kong's Listing Rules, Takeovers Code, Mergers and Share Repurchases, and the Securities and Futures Ordinance. Prior to joining Zhong Lun, Carmen worked in various well-known law firms for many years.

• Advised CMBC International Investment Limited (a subsidiary of China Minsheng Banking Corporation Limited) in relation to its share acquisition and share subscription in aggregate of 66.36% controlling stake in Skyway Securities Group Limited (currently known as CMBC Capital Holdings Ltd.) (HK Stock code: 1141) and in its general offer for the remaining shares
• Advised Anhui Tianda Oil Pipe Company Limited (HK stock code: 839 (delisted)) as the offeree company in connection with unconditional mandatory cash offer by Vallourec Tubes SAS (a subsidiary of a French company listed on Euronext, Vallourec SA) and in its privatisation
• Advised Macrolink International Holdings Limited in relation to its share acquisition of 66.75% controlling stake in Junefield Department Store Group Limited (currently known as Macrolink Capital Holdings Limited) (HK Stock code: 758) and in its general offer for the remaining shares
• Advised Infinity Financial Group (Holdings) Limited (currently known as Momentum Financial Holdings Limited) (HK Stock code: 1152) as the offeree company in connection with unconditional mandatory cash offer by Pacific Foundation Securities Limited

• Advised COFCO Group in its acquisition of China Oversea Capital Limited (currently known as COFCO Futures (International) Co., Limited), a SFC licensed corporation in Types 1, 4 and 9 regulated activities, involving application for change of substantial shareholder
