Profile

Carol Chan is a senior associate of the capital market department of Zhong Lun. She has been admitted to practice in Hong Kong since 2021. Her practice focuses on Hong Kong capital markets matters such as IPOs, take-overs and listed companies’ general compliance.

Carol has represented many issuers and sponsors of various types of securities offering and other corporate finance transactions, including TJCD (stock code: 2515), Transtech (stock code: 9963), E-star CM (stock code: 6668), Maike Tube (stock code: 1553) and Ganglong China (stock code: 6968). Meanwhile, she also provided Hong Kong listed companies regulatory and compliance service to various companies including Zhida Tech (stock code: 2650), Immunotech (stock code: 6978), Ourgame (stock code: 6899), Infinities (stock code: 1961), Cutia (stock code: 2487), YS Digifavor (stock code: 3773), Tuhu (stock code: 9690) and DExpo, etc.

Prior to joining Zhong Lun, Carol had years’ practising experience in a PRC law firm.

  • Advised CCB International Capital Limited and ABCI Capital Limited in relation to the HK$285 million IPO of Hongxing Coldchain (Hunan) Co., Ltd., a frozen food storage services and frozen food space leasing services provider headquartered in Changsha
  • Advised China Everbright Capital Limited in relation to the HK$135 million IPO of Tianjin Construction Development Group Co., Ltd., a construction group based in Tianjin, on the Main Board of the Hong Kong Stock Exchange
  • Advised Transtech Optelecom Science Holdings, a company manufacturing and selling of optical fibres, optical fibre cables, optical cable cores and other related products, on its transfer of listing from GEM to the Main Board of the Hong Kong Stock Exchange
  • Advised CCB International Capital Limited and China Securities (International) Corporate Finance Company Limited in relation to the HK$965 million IPO of -Star Commercial Management Company Limited, a leading commercial property operational service provider in the Greater Bay Area, on the Main Board of the Hong Kong Stock Exchange
  • Advised Maike Tube Industry Holdings Ltd. in relation to its HK$224 million IPO, a company manufacturing and selling of standard prefabricated pipe nipple and steel pipe products in Jinan, on the Main Board of the Hong Kong Stock Exchange
  • Advised WAG Worldsec Corporate Finance Ltd. in relation to the HK$1.57 billion IPO of Ganglong China Property Group Limited, a property developer in the Yangtze River Delta Region, on the Main Board of the Hong Kong Stock Exchange
  • Advised Immunotech Biopharm Ltd on its rights issue on the basis of one share for every five existing shares held on the record date
  • Advised Immunotech Biopharm Ltd on its issuance of RMB300 million of convertible bonds under specific mandate
  • Advised the sole sponsor in relation to the proposed IPO of a supplier of new chemical materials and upstream and downstream products in the PRC on the Main Board of the Hong Kong Stock Exchange

Highlights of Carol’s M&A transactions include:
  • Advised Infinities Global Technology Limited Partnership in an acquisition of approximately 49.00% of the issued shares in Infinities Technology International (Cayman) Holding Limited (formerly known as Jiu Zun Digital Interactive Entertainment Group Holdings Limited), which triggered the requirement to make a mandatory unconditional general offer (the “General Offer”) under the Hong Kong Takeovers Code
  • Advised Ourgame International Holdings Limited, through its non-wholly owned subsidiary, Allied Esports Entertainment Inc. (NASDAQ: AESE) in the disposal of its entire poker-related business, for US$105 million, and constitutes a very substantial disposal under Chapter 14 of the Listing Rules
