Profile

Chester’s practice focuses on capital markets matters. He has advised issuers and sponsors on pre-IPO due diligence and group reorganization, pre-IPO investment, establishment of share option schemes, application for waivers of the HKEX Listing Rules, drafting prospectuses and answering enquiries from the HKEX and the Securities and Futures Commission.

Chester has continuously provided legal advices to a number of red chip, H share and A+H share listed companies on re-financing and compliance matters under the Listing Rules including rights issue, private placing, debt financing, scrip dividend scheme, share buy-back, notifiable transactions, connected transactions, etc. And, he also assisted several listed companies on investigations conducted by the HKEX and the Securities and Futures Commission pursuant to the Listing Rules and the Securities and Futures Ordinance.

Chester has also advised listed companies on cross-border acquisition, disposal and privatization projects.


Representative Matters
Highlights of Chester's representative matters include:
  • Assisted MGM China Holdings Limited (Stock Code: 2282), one of the six licensed Macau casino operators, on its IPO on the Main Board of the HKEX;
  • Assisted the sponsors on IPO of China Datang Corporation Renewable Power Co., Limited (Stock Code: 1798), one of the largest wind power producers in China, on the Main Board of the HKEX;
  • Advised a subsidiary of GF Securities as the underwriter on a rights issue of a company listed on the Main Board of the HKEX;
  • Advised a subsidiary of China Merchants Group on acquisition of an overseas subsidiary of a top Chinese insurance company in order to indirectly acquire a highway located in China;
  • Advised a top-notch online game company on its acquisition of shares of a Main Board listed company and subsequent privatization of the latter;
  • Advised a sizable PRC investment group on provision of loans in pounds sterling to a listed subsidiary of a state-owned enterprise for construction of solar power plants located in Europe;
  • Advised a leading state-owned shipping company listed on the HKEX on implementation of its scrip dividend scheme for two consecutive years and issue of new shares thereunder to its shareholders.
