Profile

Jonathan advises on commercial litigation, arbitration and regulatory matters, with a strong focus on PRC-related matters. He acts for local and multinational corporate and private clients in handling court and arbitration cases relating to complex commercial disputes (including shareholders’ disputes, banking and insolvency matters etc.) in Hong Kong and other jurisdictions. Jonathan also advises clients on securities regulatory enforcement and investigation, anti-trust matters arising from the Hong Kong Competition Ordinance (Cap 619), and shipping disputes relating to cargo claims, charterparties, shipbuilding contracts, and contracts of carriage and sale of goods. He also assists clients on non-contentious matters, such as drafting and review of commercial agreements.

Prior to joining Zhong Lun in 2016, Jonathan worked at various leading international law firms.


Representative Matters
  • Acting for a majority shareholder of a Hong Kong listed company in respect of directors and shareholders disputes in the listed company. The disputes concerned allegations of illegal share placement valued at approximately HK$1,000,000,000, and involved various issues of operation of a company, including annual general meetings, emergency general meetings, discretionary powers of the chairman of board of directors, and the Listing Rules etc.
  • Acting for a client engaging in the show and concert business in HKIAC arbitrations concerning concert disputes which worth more than HK$150 million
  • Acting for an asset management company in applying for a winding-up order against a BVI company at the Hong Kong Court, in respect of a debt of around HK$2,500,000,000
  • Acting for a PRC entrepreneur in dismissing a summary judgment application concerning an alleged claim of US$37,000,000, which involved disputes under complicated agreements of financing and listing of company
  • Acting for a Hong Kong listed company in dismissing a winding-up petition at the Hong Kong Court concerning an alleged debt of HK$60,000,000
  • Acting for an eyewear distributor in an HKIAC arbitration with an established worldwide eyewear manufacturer, concerning claims of over RMB30,000,000
  • Acting for an international asset management company in claiming a debt of US$11,000,000 against a leading US investor, and enforcing the Hong Kong court judgment in Hong Kong, US, Australia, Switzerland and Dubai etc.
  • Providing annual retainer services to a leading worldwide computer manufacturer, including drafting standard computer distribution contracts, and providing employment advices
  • Providing annual retainer services to a Hong Kong exclusive distributor of well-known automobile brands, including drafting standard sales and purchase contract, and handling various disputes concerning construction of workshop and sale and purchase of automobiles etc.
  • Advising clients on competition law in Hong Kong and handling investigations by the Hong Kong Competition Commission
  • Acting for an ATM machine manufacture in a Hong Kong Arbitration concerning reverse engineering, design and intellectual property rights. The amount in dispute is estimated to exceed RMB100 million
  • Advising Chinese clients in a RMB170 million dispute concerning the repurchase of shares in a British Virgin Islands company under a Shareholders Agreement
  • Advising a leading internet service provider in relation to the import and export of strategic commodities, including enforcement by the Customs and Excise Department
  • Advising the director of a leading shipping company in a dispute concerning the director’s duties of managing a commercial property
  • Advising a Hong Kong company in the opposition of a summary judgment application for claims of over US$3.5 million under various sales contracts of feed additives, and in applying for the dispute to be settled by arbitration
  • Representing the shareholders and directors of a Hong Kong company in defending a Hong Kong court action brought by a listed real estate conglomerate in relation to a joint-venture development project in the PRC. The dispute concerns the alleged breach of numerous shareholders’ agreements and share charges exceeding HK$800 million and required multijurisdictional legal advice from Hong Kong, BVI and the PRC
  • Advising clients in respect of claims of outstanding loans of over HK$650 million arising out of various agreements including loan agreements, guarantees and mortgages. One of the claims has been brought by way of a mortgage action in the Hong Kong courts
  • Advising a Chinese bank in discharging a mortgage and the close of ship registration of four vessels registered in Hong Kong. The dispute concerns the financing of the sale and purchase of vessels and the bank’s rights as a third party to enforce terms of the memorandum of agreements and the bareboat charters against the contracting parties
  • Acting for the Hong Kong subsidiary of a leading Japanese pharmaceutical company in defending criminal summons in connection with the suspected sale of unregistered pharmaceutical products and successfully persuaded the Department of Justice to exercise its discretion not to continue with the prosecution
  • Advising a PRC shipyard in a London arbitration concerning the shipbuilding contracts with a German shipowner. The amount in dispute exceeds US$30 million
  • Advising a Hong Kong company in the dispute over the commission sales agreement in the Hong Kong courts
  • Acting for a PRC real estate company in a Hong Kong arbitration concerning the dispute over opening hotels in the Mainland. The amount in dispute exceeds US$35 million
  • Advising a leading foreign railway company in a bidding in Hong Kong
  • Advising various clients in responding to multiple complaints received by the Hong Kong Securities and Futures Commission and the Hong Kong Monetary Authority
