Profile

Shavonne is an associate in the Corporate and Commercial practice of Zhong Lun. She has extensive experience advising on a wide range of private and public mergers and acquisitions including cross-border transactions involving regulated industries such as insurance and SFC-licensed entities. Her experience also covers capital markets transactions, including IPOs, spin-offs and compliance with Hong Kong Listing Rules, the Takeovers Code and the Securities and Futures Ordinance.

In addition, Shavonne frequently advises clients on corporate governance, regulatory compliance and commercial matters, including joint ventures, shareholder agreements, ESOPs, internal policies and data privacy.

Shavonne represents state-owned enterprises, multinational corporations, investment funds and listed companies across diverse industries. She passed the Guangdong-Hong Kong-Macao Greater Bay Area Legal Professional Examination in 2024.

  • Advising Yue Xiu Enterprises on its HK$1.8 billion acquisition of Hong Kong Life Insurance Limited
  • Advising a food manufacturer on the US$37 million acquisition of a Hong Kong subsidiary as part of a global transaction involving various jurisdictions under a single sale and purchase agreement
  • Advising a PRC oil company on pre-deal due diligence for a proposed acquisition of a company operating gas stations in Hong Kong, including reviewing the sale and purchase agreement and transitional agreements
  • Advising a SFC licensed company on the proposed acquisition of another SFC licensed company, including client portfolio transfer, data privacy and client agreement aspects
Public Mergers and Acquisitions / Takeovers
  • Advising Rongzhong Financial (3963), as the offeree company, on a mandatory general offer with a total value of up to HK$94.5 million*
  • Advising the offeror on a waivable whitewash waiver and share subscription, followed by a mandatory general offer in relation to Titans Energy (2188) with a total value of up to HK$314.5 million*
  • Advising Global Sweeteners (3889), as the offeree company, on a mandatory general offer with a total value of up to HK$45.0 million involving special deals and very substantial disposal by Global Bio-chem (809), its parent company*
  • Advising Kantone Holdings (1059), as the offeree company, on a mandatory general offer with a total value of up to HK$41.0 million involving very substantial disposal and rights issue by Champion Technology (92), its parent company*

  • Advising the sole sponsor of the HK$225.7 million IPO and listing on the Main Board of the Stock Exchange of Tycoon Group (3390)*
  • Advising the listing applicant on its proposed spin-off and listing on the Main Board of the Stock Exchange by way of introduction*
  • Advising listing applicants as local counsel on its IPO and listing on the Main Board of the Stock Exchange, conducting due diligence on their group companies incorporated in Hong Kong and preparing legal opinions

  • Advising on multiple specific and general mandate issues, including convertible bonds, preference shares and share awards*
  • Advising on various forms of capital restructuring including share consolidation, share subdivision, capital reduction, scrip dividend distribution and share buybacks*
