Profile

Mr. Wang’s practice is focused on mergers and acquisitions, corporate/FDI and China outbound investments. Prior to joining our firm, he worked with a tier one Australian law firm in their Shanghai and Hong Kong offices as a senior lawyer for many years and advised numerous multi-national companies from Australia, America, UK, continental Europe, Japan and Asia on their investments in the PRC. His clients are from a broad range of industry sectors including energy and resources, pharmaceutical & medical devices, chemical, automobile, electronics, private equity, real estate, banking & finance, wholesale & retail, construction materials and design, logistics, services, TMT, animation, sports equipment, apparel, tourism and publication. He has also advised many PRC companies on their outbound investment projects in Australia, Hong Kong, Indonesia, Papua New Guinea and other jurisdictions, and has solid experiences in managing large size, complex China outbound acquisition projects involving the laws of multiple jurisdictions.

  • Advising a multi-national paint manufacturer on the sale of its business assets in Shanghai.
  • Advising a multi-national car distributor on the sale of its equity in a WFOE in Zhejiang province of the PRC.
  • Advising an UK construction consulting firm on the buy-out of its Hong Kong JV partners.
  • Advising an Australia based visual and optical products manufacturer on the setting up of a Hong Kong JV with a PRC company to conduct R&D.
  • Advising an international paint manufacturing group on the merger of its Asia business with a Hong Kong based paint manufacturing group and the divestment of its assets in certain countries.
  • Advising an Australian logistics equipment manufacturer on its acquisition of a Shanghai based storage shelf manufacturer.
  • Advising an international medical device manufacturer on its various acquisition deals in the PRC, involving regulatory, structure, due diligence, drug licensing, real property, financing, environmental, employment, import/export, intellectual property, corporate governance, anti-trust, tax, documentation and negotiation issues.
  • Advising an international sports equipment company on its proposed acquisition of a sportswear manufacturer based in Shanghai.
  • Advising an Australia based insurance group on its proposed acquisition of a PRC property insurance company.
  • Advising a major Australia bank on its acquisition of 20% shares in a rural commercial bank of the PRC.
General Corporate / FDI
  • Advising more than 100 multi-national companies on general corporate and commercial issues in the PRC or Hong Kong.
  • Advising more than 50 foreign companies on setting up subsidiaries or JVs in the PRC or Hong Kong.
Energy & Resources
  • Advising an international petroleum company on the operational licensing issues of its gas development project in the PRC.
  • Advising a large mining company incorporated in Mongolia on its purchase of electricity from and sale of mineral ores to the PRC.
  • Advising an international oil company on its gas development JV project with a PRC national oil company in the PRC.
  • Advising an Australia based energy company on its contract with a PRC engineering company for the construction of a power plant in Indonesia.
  • Advising an international mining company on the customs, logistics and foreign exchange issues related to the export of various mineral ores to the PRC.
PE
  • Advising a number of international real estate PE funds on their various residential/commercial property acquisition projects in the PRC.
  • Advising an international PE fund on its pre-IPO investment in a state owned mining company of the PRC.
China Overseas Investment
  • Advising a leading non-ferrous metal mining company of the PRC on their various acquisition projects in Australia.
  • Advising a PRC steel company on its proposed acquisition of an Indonesian mining company.
  • Advising a national petroleum company of the PRC on its acquisition of an oil and gas development project in Papua New Guinea.
