Daisy Guo is an associate in the Corporate team of Zhong Lun. She maintains a diverse practice encompassing mergers & acquisitions, general corporate and commercial matters and employment matters. She also has extensive experience in handling a broad range of civil and commercial litigation cases, including Injunction Orders applications, contractual disputes, debt recovery, enforcement of mainland judgments and arbitral awards in Hong Kong, shareholders’ disputes, bankruptcy and winding-up proceedings.

Drawing on her deep understanding of both Hong Kong and the PRC legal frameworks and cultures, Daisy Guo regularly represents both corporate entities and individual clients from the PRC and Hong Kong.

• Assisted a Hong Kong company in its proposed acquisition of shares in wholly-owned Hong Kong subsidiaries of a company listed on the Main Board of the Hong Kong Stock Exchange, including conducting legal due diligence and issuing a legal opinion
• Assisted a Mainland company in its proposed incorporation of a joint venture company in Hong Kong with a Dutch company, including drafting a memorandum of understanding and participating in preliminary negotiations
• Assisted a Hong Kong company in its proposed incorporation of a joint venture company in Hong Kong with a Mainland company, including drafting the shareholders' agreement and the articles of association of the joint venture company
• Provided annual retainer legal advisory services to wholly-owned Hong Kong subsidiaries of several Mainland state-owned enterprises
• Conducted legal due diligence and issued a legal opinion in respect of wholly-owned Hong Kong subsidiaries of numerous listing applicants seeking to list on the Main Board of the Hong Kong Stock Exchange
• Acted for clients in issuing statutory demands against their debtors and filing winding-up petitions against such debtors in the High Court of Hong Kong
• Acted for clients in applying for the Injunction Orders
• Acted for clients in general commercial and civil litigation and arbitration matters
