Profile

Mr. Victor Pang’s practice is focused on corporate finance and mergers and acquisitions work and has a decade of experience representing Chinese companies, investment banks and international conglomerates. He also regularly counsels Chinese state-owned enterprises and private companies in their oversea listings and cross-border acquisitions/investments. Mr. Pang has worked in various leading international law firms before joining us.

Mr. Pang has worked on large-scale listings of various state-owned enterprises and private companies. He has broad experience in domestic and international mergers and acquisitions, corporate finance and ECM work, Hong Kong listing rules and securities law compliance, telecommunication businesses, and PRC foreign direct investment work. Transactions on which Mr. Pang has worked on include:

  • Advised China Shenhua Energy, a Hong Kong and Shanghai listed leading integrated coal-based energy company focusing on coal and power businesses in China, on its RMB8.7 billion (US$1.3 billion) acquisition of various mining companies and assets from its controlling shareholder, Shenhua Group
  • Advised BNP Paribas, BOC International, ICBC International, UBS, Credit Suisse, HSBC, BofA Merrill Lynch and Nomura as joint underwriters in relation to the HK$13 billion (US$1.7 billion) H-share rights issue by ICBC
  • Advised HSBC, UBS and Citi as joint sponsors and joint bookrunners, and BNP, CICC, Morgan Stanley and Goldman Sachs as joint bookrunners, on the HK$8.2 billion (US$1.1 billion) initial public offering of Sun Art Retail Group, the largest hypermarket operator in China
  • Advised China Gold Group on its acquisition of African mining business and assets from the Gerald Group
  • Advised Hopu Fund on its acquisition of a 3.2% stake in China Construction Bank Corporation from the Bank of America in consideration of approximately HK$31 billion
  • Advised Hopu Fund on its acquisition of H shares of Bank of China from the Royal Bank of Scotland in consideration of approximately HK$3.5 billion
  • Advised China Datang in relation to its acquisition of H shares of Datang International Power Generation from Goldman Sachs in consideration of approximately HK$734 million
  • Advised China Agri-Industries on its acquisition of oilseeds and corn processing businesses and related assets from its controlling shareholder COFCO (Hong Kong) in consideration of approximately HK$1.1 billion satisfied in shares and cash
  • Advised TCL Multimedia Technology on its share placement to its controlling shareholder, connected persons and other investors raising approximately HK$1.2 billion and related Hong Kong Takeovers Code implications
  • Advised TCL Communication on its HK$358 million (US$46 million) rights issue
